These Terms of Service ("Terms") govern your use of the BalaiCare Inc. website at balaicare.ca and your engagement with the services provided by BalaiCare Inc. and its operating branches, Balai Uno by BalaiCare (Edmonton) and BalaiCare Inc. — South (Medicine Hat, Taber, and Oyen).

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please discontinue use of our website and services.

BalaiCare Inc. reserves the right to update these Terms at any time. Continued use of the website or services after changes are posted constitutes acceptance of the revised Terms.

2. Description of Services

BalaiCare Inc. provides regulated and unregulated home care, respite care, disability support, community access, and supported living services in Alberta. Services are delivered under applicable provincial frameworks including Alberta Health Services (AHS), the Family Support for Children with Disabilities (FSCD) program, the Persons with Developmental Disabilities (PDD) program, and private pay arrangements.

Service availability, scope, and eligibility are subject to individual care assessments, funding approvals, and applicable program guidelines. BalaiCare Inc. does not guarantee the availability of any specific service or funding outcome.

3. Service Limitations

Our services are available to eligible individuals residing within our service areas in Alberta. We reserve the right to decline, modify, or discontinue services at our discretion, including where:

• The requested service falls outside our scope of practice or licensure.
• The care environment poses an unacceptable risk to our staff or the client.
• Funding approval has not been obtained or has been withdrawn.
• The client or their representative has not complied with the agreed care plan or these Terms.
• Staffing or resource constraints prevent safe service delivery.

Where possible, BalaiCare Inc. will provide reasonable notice before discontinuing services and will assist in transitioning care to another provider.

4. User Responsibilities

By using our website or engaging our services, you agree to:

• Provide accurate, complete, and current information when submitting forms, applications, or care requests.
• Notify BalaiCare Inc. promptly of any changes to your health status, care needs, or contact information.
• Treat BalaiCare staff with respect and dignity. Harassment, abuse, or threatening behaviour toward our staff will result in immediate termination of services.
• Ensure a safe working environment for care staff visiting your home or facility, including disclosure of known hazards.
• Comply with all applicable laws and regulations in connection with your use of our services.
• Not use our website for any unlawful purpose or in a manner that could damage, disable, or impair the site.

5. Payment Terms

For privately funded services, payment terms will be set out in your individual service agreement. Invoices are due within 14 days of the invoice date unless otherwise agreed in writing.

For publicly funded services (AHS, FSCD, PDD), BalaiCare Inc. will bill the applicable funding body directly. Any co-payments or amounts not covered by funding remain the responsibility of the client or their representative.

• Late payments may be subject to an administrative fee as specified in your service agreement.
• BalaiCare Inc. reserves the right to suspend services where invoices remain unpaid beyond 30 days without an agreed payment arrangement.
• All fees are in Canadian dollars and are subject to applicable taxes.

6. Intellectual Property

All content on the BalaiCare Inc. website — including text, images, logos, graphics, and page layouts — is the property of BalaiCare Inc. or its licensors and is protected by Canadian copyright and intellectual property law.

You may not reproduce, distribute, modify, or republish any content from this website without prior written consent from BalaiCare Inc. Limited personal, non-commercial use is permitted provided attribution is given.

7. Limitation of Liability

To the fullest extent permitted by applicable law, BalaiCare Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, including but not limited to loss of data, loss of revenue, or personal injury not directly caused by our negligence.

Our total liability to you for any claim arising under these Terms shall not exceed the amount paid by you for the specific service giving rise to the claim in the three months preceding the event.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

8. Disclaimer of Warranties

Our website and its content are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Dispute Resolution

We encourage you to contact us directly to resolve any concerns before pursuing formal proceedings. Most issues can be resolved quickly and informally.

If a dispute cannot be resolved informally, the parties agree to attempt mediation in good faith before initiating any legal proceedings. Mediation shall be conducted in Edmonton, Alberta, unless otherwise agreed.

These Terms are governed by the laws of the Province of Alberta and the applicable laws of Canada. Any legal proceedings shall be brought exclusively in the courts of Alberta.
